Terms of Service

Moyopay is a digital wallet platform built for Africa. The Services are designed to let users save in USDT/USDC, invest in tokenised stocks, pay bills, send money, and spend globally from a single balance, primarily through integrations with licensed and regulated third-party partners.

Moyopay may be offered in phases, including a waitlist period before full product launch. Features described on our website may not all be available immediately and may change over time.

To use the Services, you must:

• Be at least 18 years old (or the age of majority in your jurisdiction);
• Have the legal capacity to enter into a binding agreement;
• Not be prohibited from using the Services under applicable law;
• Complete any identity verification (KYC) or compliance checks we or our partners require.

Certain features — including tokenised investments, card issuance, and fiat on/off-ramps — may only be available to eligible users in supported jurisdictions.

You may need to create an account to access certain Services. You agree to provide accurate, current, and complete information and to keep your account details up to date.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at legal@moyopay.io if you suspect unauthorised access.

Depending on availability, Moyopay may enable you to:

• Open and maintain a USDT/USDC-denominated balance;
• Deposit crypto or fiat with automatic conversion to USDT/USDC;
• Send money via phone number, username, bank account, or crypto wallet;
• Pay local utility and other bills;
• Use virtual or physical payment cards through partner issuers;
• Access savings and yield products, where offered;
• Buy fractional tokenised shares in US and other equities, where offered;
• Convert between naira and USDT/USDC at market rates.

We may add, modify, suspend, or discontinue any feature at any time, with or without notice, to the extent permitted by law.

Moyopay operates a partner-first model. We provide the interface and user experience; many Services are delivered by third-party partners, including:

• CBN-licensed payment processors for naira movement;
• Card networks and issuers for Visa and Mastercard products;
• Blockchain and custody infrastructure providers;
• Liquidity, brokerage, and investment partners for tokenised stocks;
• Bill payment and utility aggregators.

Moyopay does not hold customer fiat balances. Digital asset arrangements may involve non-custodial or partner-custodied structures as disclosed at the time of use. Your use of partner services may be subject to additional terms imposed by those partners.

USDT, USDC, and other digital assets are not legal tender and may be subject to volatility, technical failure, regulatory change, and counterparty risk. Stablecoins are designed to maintain a peg but that peg is not guaranteed.

Tokenised stocks and other investment products involve market risk, including the possible loss of your entire investment. Past performance is not indicative of future results. Moyopay does not provide investment, legal, or tax advice. You are solely responsible for evaluating whether any product is suitable for you.

Yield rates, where advertised, are variable and not guaranteed. Any illustrative rates on our website are subject to change without notice.

Fees, spreads, and exchange margins may apply to certain transactions. Applicable fees will be disclosed before you confirm a transaction, or in our fee schedule when published. We reserve the right to update fees in accordance with these Terms and applicable law.

You agree not to:

• Use the Services for unlawful, fraudulent, or abusive purposes;
• Violate sanctions, AML, CFT, or other financial crime laws;
• Provide false or misleading information;
• Interfere with or disrupt the Services or related systems;
• Attempt unauthorised access to accounts, data, or infrastructure;
• Use the Services on behalf of a third party without authorisation;
• Circumvent geographic, eligibility, or compliance restrictions.

We may investigate violations and cooperate with law enforcement and regulators as required.

The Services, including the Moyopay name, logo, software, design, and content, are owned by Moyo Horizon or its licensors and are protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable licence to use the Services for personal, lawful purposes. You may not copy, modify, distribute, reverse engineer, or create derivative works without our prior written consent.

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS TO THE MAXIMUM EXTENT PERMITTED BY LAW. MOYOPAY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components, or that any transaction will settle at a particular price or time.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MOYO HORIZON AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR DIGITAL ASSETS, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES. OUR AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO MOYOPAY IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED BY LAW.

You agree to indemnify and hold harmless Moyo Horizon and its affiliates, officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any law or third-party rights.

We may suspend or terminate your access to the Services at any time if we reasonably believe you have breached these Terms, pose a compliance or security risk, or if required by law or a partner. You may stop using the Services at any time. Provisions that by their nature should survive termination will continue to apply.

Moyopay is building its compliance framework in line with applicable Nigerian and international requirements, including partnerships with CBN-licensed providers for fiat services and a pathway toward registration with the Securities and Exchange Commission (SEC) under applicable virtual asset service provider frameworks. Regulatory status may evolve, and certain Services may be restricted until appropriate licences or approvals are obtained.

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles.

Any dispute arising from these Terms or the Services shall first be attempted to be resolved amicably by contacting legal@moyopay.io. If not resolved within thirty (30) days, disputes shall be subject to the exclusive jurisdiction of the courts of Nigeria, unless mandatory consumer protection laws in your jurisdiction provide otherwise.

We may update these Terms from time to time. The updated version will be posted on this page with a revised “Last updated” date. Material changes may also be communicated via email or in-app notice. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
